Terms of Service: agentprose Cloud

These terms are between you (the "Customer") and [BUSINESS NAME, ENK/AS], org. no. [ORG NO], [ADDRESS], Norway ("we").

1. The service

agentprose Cloud provides agent analytics, a hosted search index and related APIs for websites that use the open-source agentprose library. The library itself is open source under its own licence; these terms cover the hosted service only.

2. Account

You must give a correct email address and keep your password and secret API keys safe. You're responsible for activity under your account. You must be 18 or older and, if you sign up for a company, authorised to bind it.

3. Plans, prices and payment

• Plans, limits and prices are listed on [/pricing]. Prices exclude VAT unless stated; VAT is added at checkout where it applies.
• Paid plans are billed monthly or yearly in advance through Stripe and renew automatically until cancelled.
• You can cancel at any time in the customer portal; the plan stays active until the end of the paid period. [Refund policy: e.g. no refunds for partial periods, except as required by law.]
• When you exceed a plan limit, extra analytics events are dropped and hosted search returns "limit reached" until the next period or an upgrade. We don't charge overage without your consent.
• We may change prices with at least [30] days' notice; the change applies from your next renewal.
• If a payment fails and isn't fixed after Stripe's retries, we may downgrade the account to the Free plan.

4. Consumers: right of withdrawal

If you're a consumer in Norway or the EU, you normally have a 14-day right of withdrawal for distance contracts. For digital services, that right can end when the service is fully performed, and you may have to pay for the part used if you asked us to start during the withdrawal period. 5. Acceptable use

Don't use the service to break the law, attack or overload systems, collect special categories of personal data, or bypass plan limits or keys. We may suspend accounts that do.

6. Your content and data

You keep all rights to your content. You give us the rights we need to run the service (crawl your published pages, store and index them, show results to agents). For personal data we process for you, the Data Processing Agreement applies. You can export your data [via CSV/API] and delete your account at any time.

7. Availability and support

We aim for high availability but give no uptime guarantee on the Free and Pro plans [Team SLA: TBD]. Support: hello@agentprose.cloud.

8. Warranty and liability

The service is provided "as is" to the extent the law allows. Our total liability in any 12 months is limited to the fees you paid in that period. We're not liable for indirect or consequential loss. Nothing here limits liability that can't be limited by law, or consumers' mandatory rights.

9. Termination

You can stop at any time. We may terminate with [30] days' notice, or immediately for material breach. Data is deleted as described in the Privacy Policy and DPA.

10. Changes to these terms

We'll give at least [30] days' notice of material changes by email.

11. Law and disputes

Norwegian law applies. Disputes go to [Oslo tingrett], without limiting consumers' rights to bring a case in their home courts or to use the Norwegian Consumer Authority / Consumer Council.
